<font style="FONT-FAMILY: Times New Roman" size="2">The Company
maintains a postretirement plan (the “Postretirement
Plan”) providing health coverage and life insurance benefits
for substantially all of its U.S. employees and retirees hired
before July 1, 2007. Net periodic postretirement benefit cost
was $1 for each of the three month periods ended March 31,
2010 and 2009. The cost included amounts for interest cost, service
cost and amortization of the transition obligation partially offset
by the amortization of the actuarial gain. The majority of the cost
represented interest cost.</font></p>
<p style="MARGIN-TOP: 12px; MARGIN-BOTTOM: 0px; TEXT-INDENT: 4%">
<font style="FONT-FAMILY: Times New Roman" size="2">The Company
does not make any contributions to its Postretirement Plan other
than funding benefits payments.</font></p>
