Form 10-K: annual report

The annual report every US-listed company files within 60 to 90 days of its fiscal year end: the business, its risks, management's discussion of the results, audited financial statements, controls, and governance. Divided by the SEC into four Parts and 23 numbered Items, in a fixed order.

297,944 filings on EDGAR. Every one can be read whole, or one Item at a time.

Items

Every Item of Form 10-K in the order the SEC sets, with what the company has to put there. The titles are the SEC's; companies often shorten them in their headings.

Worth knowing

  • Part III (Items 10 to 14: directors, pay, ownership, related parties, audit fees) is usually incorporated by reference from the proxy statement (DEF 14A) filed within 120 days of year end. The Item then holds one paragraph saying so; the substance is in the proxy, which is served as a document.
  • Many companies put the financial statements after Part IV, on F-pages, and Item 8 points there. The Item is then a cross-reference; use the statements endpoint for the XBRL figures, or read the document from the page it names.
  • Information about Executive Officers is not a numbered Item: General Instruction G(3) lets a company put it at the end of Part I instead of Item 10. Ask for it by title.
  • A 10-K/A often amends one Part only (commonly Part III, filed when the proxy is late). Items it does not contain are listed as not located.

API

Find the filing with /filings?cik=<CIK>&form=10-K, then list its Items or read one. An Item is found by its heading in the document, never by the first time its name appears, which is almost always the table of contents.

# the company's 10-K filings, newest first
GET https://beatandraise.com/api/v1/filings?cik=<CIK>&form=10-K

# the filing's Items, with their lengths and highlight links
GET https://beatandraise.com/api/v1/items/<accession>

# one Item as markdown: by number, or by the SEC's title
GET https://beatandraise.com/api/v1/items/<accession>/1A
GET https://beatandraise.com/api/v1/items/<accession>/Risk%20Factors

# the same Item as the HTML filed
GET https://beatandraise.com/api/v1/items/<accession>/1A?format=html
  • An Item can be named by number (1A), by the SEC's title, or by a common name such as MD&A or risk factors.
  • The default is markdown, from the same copy the document endpoint serves; format=html returns that stretch of the document as filed.
  • Headers say which Item was served (X-Item, X-Item-Part, X-Item-Title) and give a link that highlights it in the filing (X-Highlight-URL), plus the file on sec.gov.
  • An Item the locator did not find is still answered: the text between the Items before and after it, with X-Item-Approximate: true. It contains the Item if the filing has one. The list says which Items were not located.
  • Works for any 10-K on EDGAR, amendments included. On 59 random 10-Ks (2010 to 2026) checked against each filing's own linked table of contents, 1,299 of 1,302 Items (99.8%) were found at the right heading.
