Since the Company was in a net loss position for all periods presented, basic net loss per share is the same as diluted net loss per share as the inclusion of all potential common shares outstanding would have been antidilutive. The above table excludes founder holdbacks related to business combinations. A variable number of shares will be issued upon vesting to settle a fixed monetary amount of $11.4 million which are contingent upon continued employment with the Company for two years. The share price will be determined based on the Company’s average stock price 5 days prior to each vesting date.
